These Terms of Service (the "Terms," and together with any Order, attachment, or amendment, the "Agreement") govern your access to and use of OAccess Gateway (the "Gateway"). By using the Gateway, you ("User," "you," "your") agree to be bound by these Terms. If you do not agree, do not use the Gateway.

1.1 "Applicable Laws" means all local, state, national, and international statutes, regulations, ordinances, and other laws applicable to the Agreement, the Gateway, a Token, or a Transaction.
1.2 "Beta Services" means any service, feature, or functionality identified as early access, trial, beta, or pre-release.
1.3 "Blockchain" means a decentralized distributed ledger on which Transactions are recorded. "Blockchain Infrastructure" means the third-party networks that enable the transfer or storage of Tokens.
1.4 "Charges" means fees applicable to a Transaction other than the Platform Fee, including network/gas fees and fees charged by Others (as defined below), such as a Licensed Provider or a Routing Provider.
1.5 "Compliance Procedures" means the identity verification, "know your customer" (KYC), and anti-money-laundering (AML) verifications applicable to a Transaction. Compliance Procedures are performed entirely by Licensed Providers, not by Aditus.
1.6 "Gateway" or "Platform" means the OAccess Gateway technical coordination layer, including the buy links, interfaces, and Transaction Workflows made available by Aditus.
1.7 "Geofencing" means Aditus's automated controls that restrict access to the Gateway from certain jurisdictions.
1.8 "IP" means all intellectual property rights, including patents, trademarks, copyrights, trade secrets, and any rights in the Gateway's software, interfaces, and documentation.
1.9 "Licensed Provider" means the licensed, regulated third party (e.g., a fiat on-ramp provider such as Bridge) that processes payment, performs Compliance Procedures, and handles fiat-to-crypto conversion for a Transaction.
1.10 "Others" means any person, entity, or system outside Aditus's direct control involved in a Transaction, including Licensed Providers, Routing Providers, blockchain analytics vendors, Blockchain Infrastructure, and Wallet providers ("Infrastructure Partners"). Others do not include Aditus's own service providers and sub-processors acting on Aditus's behalf.
1.11 "Permitted Purposes" means accessing and using the Gateway to initiate, screen, and coordinate a Transaction as reasonably intended by Aditus's documentation. Permitted Purposes exclude any Restricted Business Activity.
1.12 "Recipient Wallet" means the self-custodied Wallet address you nominate to receive a Token. "Refund Wallet" means the Wallet address to which funds are returned if a routed Transaction fails.
1.13 "Restricted Business Activities" means any activity listed by Aditus at [restricted-business-activities URL], as updated from time to time.
1.14 "Routing Provider" means a non-custodial third party that swaps an intermediary asset into the Token requested in a routed Transaction.
1.15 "Token" means the digital asset made available for Trade through a Transaction. "Trade" means to purchase, acquire, or transfer a Token through a Transaction.
1.16 "Transaction" means a request initiated through the Gateway in which you Trade a Token in exchange for payment, executed either as a single-leg ("Direct") delivery or a two-leg ("Routed") delivery through a Routing Provider.
1.17 "Platform Fee" means the flat fee charged by Aditus for coordinating a Transaction, published from time to time at [fee schedule URL]. The Platform Fee does not include Charges.
1.18 "Wallet" means a digital wallet used to store, send, or receive Tokens.
2.1 What the Gateway Does. The Gateway is a non-custodial technical coordination layer. It resolves buy links, performs eligibility and risk screening, and coordinates delivery of a requested Token between you, a Licensed Provider, and, for Routed Transactions, a Routing Provider. Aditus is not a payment processor, custodian, money transmitter, exchange, broker, or bank. Aditus never receives, holds, transmits, or converts your funds or Tokens on either the Direct or Routed path.
2.2 Beta Services. Any feature identified as a Beta Service is provided for testing purposes only, "as is," without warranty, and may be modified, suspended, or discontinued by Aditus at any time.
2.3 Availability. Aditus will use commercially reasonable efforts to keep the Gateway available but does not guarantee uninterrupted access and is not responsible for losses caused by downtime, maintenance, or disruptions caused by Others.
2.4 Support. For technical issues, contact [support@adituslabs.com]. We aim to respond to support requests within 24 hours, depending on availability.
3.1 Eligibility Screening. Before any Transaction screen is rendered, the Gateway performs automated checks, including a jurisdictional geofencing block and a review of route and payment-method coverage. If any check fails, no Transaction screen is shown and the Transaction cannot proceed. These checks are hard, automated stops — Aditus does not provide manual override, appeal, or a recovery path for a geofencing block.
3.2 Wallet Screening. Your Recipient Wallet and Refund Wallet are screened in real time against sanctions and risk-exposure lists (such as OFAC, EU, UK, and UN designated-persons lists) using third-party blockchain analytics tools. If screening identifies a match or risk exposure, your Transaction will be blocked or held and will not proceed.
3.3 Nature of Screening. The eligibility and wallet-screening checks described in this Section are operational risk controls performed by Aditus. They are not, and should not be understood as, identity verification, KYC, AML clearance, investment advice, or an endorsement of any Token, Wallet, or counterparty. Any KYC or AML clearance applicable to your Transaction is performed solely by the Licensed Provider, under its own program and licenses.
3.4 Payment and Delivery Path. Once eligibility is confirmed, you will select a payment method offered by a Licensed Provider. Depending on the requested Token and route, your Transaction will complete through one of two paths:
Where more than one routing option is available, the Gateway selects and displays it using fixed, automated criteria — such as price, speed, or available liquidity — applied the same way for every user. Aditus does not exercise manual judgment or steer you toward a particular route.
3.5 Volume Limits and Ownership Verification. Certain Routed Transactions are subject to per-transaction and cumulative volume limits, tracked against your Recipient Wallet. Higher-value Routed Transactions involving a self-hosted wallet in the EU or UK may require you to provide additional proof of wallet ownership before the Transaction can proceed.
3.6 Failed and Refunded Transactions. If a Routed Transaction fails after the first leg completes, the Routing Provider will return funds to your Refund Wallet on the origin chain, net of network fees. If the amount available for refund is smaller than the network fee required to send it, no funds will be returned ("Zero-Refund"). Aditus resolves a Routed Transaction as complete only once the Routing Provider confirms delivery or refund/failure; Aditus does not independently guarantee delivery or refund timing.
3.7 Payment Providers. Aditus does not process payment card or bank data. The Licensed Provider is responsible for its own compliance with payment card industry standards and Applicable Laws, including AML requirements and Compliance Procedures. Aditus is not responsible for chargebacks, payment errors, or fraud relating to your payment method, and will not participate in any payment dispute between you and a Licensed Provider.
3.8 Token Price. The price of a Token is determined by market conditions and is shown for reference before you confirm a Transaction. You are responsible for reviewing the total cost — Token price, Charges, and Platform Fee — before confirming.
3.9 No Guarantee of Legal Compliance. AS TO ANY TOKEN MADE AVAILABLE THROUGH THE GATEWAY: ADITUS DOES NOT CONFIRM, AND MAKES NO REPRESENTATION, THAT A TOKEN OR A TRANSACTION COMPLIES WITH SECURITIES, TAX, OR OTHER REGULATORY REQUIREMENTS APPLICABLE TO YOU. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER A TRANSACTION IS LAWFUL FOR YOU TO ENTER INTO, AND ADITUS DISCLAIMS ALL LIABILITY ARISING FROM YOUR NON-COMPLIANCE WITH APPLICABLE LAWS.
4.1 Accurate Information. You agree to provide accurate, current information when using the Gateway, including your Recipient Wallet, Refund Wallet, and any information requested to complete a Transaction.
4.2 Eligibility. You represent and warrant that: (a) you have the legal capacity and authority to enter into this Agreement; (b) you are not located in, or a resident of, a jurisdiction subject to a Geofencing block; (c) you are not listed on, and are not owned or controlled by a person listed on, any sanctions or denied-persons list maintained by OFAC, the UN, the EU, the UK, or any similar authority; and (d) your use of the Gateway complies with all Applicable Laws.
4.3 Wallet Responsibility. You are solely responsible for the accuracy of the Recipient Wallet and Refund Wallet addresses you provide. Aditus is not responsible for Tokens or refunds sent to an incorrect address you supplied.
5.1 Platform Fee. Aditus charges a flat Platform Fee for each completed Transaction, as published at [fee schedule URL]. We may change the Platform Fee from time to time by posting an updated fee schedule; changes apply to Transactions initiated after the update takes effect.
5.2 Charges. Charges (network/gas fees and fees charged by Others) are separate from the Platform Fee, are set by those Others, and are outside Aditus's control. Charges are non-refundable and non-cancellable once incurred.
5.3 Taxes. You are solely responsible for determining, reporting, and remitting any taxes applicable to your Transactions. Aditus is not responsible for assessing, collecting, or remitting taxes on your behalf.
You will not, and will not attempt to:
6.1 Reverse engineer, decompile, or probe the Gateway beyond what is exposed through its intended interfaces, or use bots, scrapers, or automated tools to access the Gateway outside normal use.
6.2 Circumvent Geofencing, wallet screening, volume limits, or any other control built into the Gateway.
6.3 Use the Gateway for money laundering, terrorist financing, sanctions evasion, or any other violation of Applicable Laws.
6.4 Interfere with the Gateway's normal operation, including by imposing an unreasonable load on Aditus's infrastructure.
6.5 Use the Gateway in connection with market manipulation, including wash trading, front-running, spoofing, or pump-and-dump schemes.
6.6 Use the Gateway for any Restricted Business Activity.
7.1 The Gateway, its software, interfaces, and documentation, and the Aditus name and logo (the "Marks"), are the property of Aditus or its licensors. Nothing in this Agreement transfers any IP rights to you, except a limited, revocable, non-transferable license to access and use the Gateway for Permitted Purposes.
7.2 If you submit feedback, suggestions, or ideas about the Gateway ("Feedback"), you agree Aditus may use that Feedback for any purpose, including to improve the Gateway, without any obligation or compensation to you.
8.1 No Financial Advice. Aditus is not a broker, dealer, investment adviser, or financial institution, and nothing on the Gateway is investment, legal, or tax advice. Information shown on the Gateway, including Token prices, is for reference only.
8.2 Disclaimer of Warranty. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE GATEWAY IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ADITUS DOES NOT WARRANT THAT THE GATEWAY WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
8.3 Others. THE GATEWAY INTERACTS WITH LICENSED PROVIDERS, ROUTING PROVIDERS, AND OTHER INFRASTRUCTURE PARTNERS THAT ARE SEPARATE, INDEPENDENT ENTITIES. ADITUS DOES NOT CONTROL, AND IS NOT RESPONSIBLE FOR, THE AVAILABILITY, PERFORMANCE, OR ACTIONS OF ANY OTHERS. YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN DUE DILIGENCE REGARDING ANY OTHERS INVOLVED IN YOUR TRANSACTION.
8.4 Smart Contracts and Blockchain Risk. TRANSACTIONS MAY INVOLVE SMART CONTRACTS THAT EXECUTE AUTOMATICALLY ON A BLOCKCHAIN. ADITUS DOES NOT CONTROL OR GUARANTEE THE FUNCTIONALITY, SECURITY, OR OUTCOME OF ANY SMART CONTRACT. BLOCKCHAIN TRANSACTIONS ARE GENERALLY IRREVERSIBLE ONCE CONFIRMED, AND ADITUS CANNOT RESERVE, CANCEL, OR MODIFY A TRANSACTION ONCE IT HAS BEEN SUBMITTED TO A BLOCKCHAIN. YOU ASSUME ALL RISK ASSOCIATED WITH SMART CONTRACT INTERACTIONS, INCLUDING NETWORK CONGESTION, FORKS, NETWORK SPLITS, CONSENSUS FAILURES, REORGANIZATIONS, PROTOCOL CHANGES, AND EXPLOITS.
8.5 Wallets. YOUR USE OF A WALLET TO SEND, RECEIVE, OR STORE TOKENS IS AT YOUR OWN RISK. ADITUS IS NOT RESPONSIBLE FOR LOSSES RESULTING FROM LOST PRIVATE KEYS, COMPROMISED WALLETS, OR ANY OTHER WALLET-RELATED FAILURE. YOU ARE SOLELY RESPONSIBLE FOR THE SECURITY OF YOUR WALLET.
8.6 Volatility. TOKEN PRICES CAN BE HIGHLY VOLATILE. ADITUS DOES NOT GUARANTEE ANY TOKEN'S VALUE, LIQUIDITY, OR PERFORMANCE.
You agree to indemnify, defend, and hold harmless Aditus and its officers, directors, employees, and affiliates from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Gateway; (b) your breach of this Agreement, including the representations in Section 4; (c) your violation of Applicable Laws; or (d) your failure to comply with tax obligations related to a Transaction.
10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADITUS'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE PLATFORM FEE YOU PAID TO ADITUS FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM.
10.3 Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations in this Section may not apply to you.
11.1 You may stop using the Gateway at any time. Aditus may suspend or terminate your access to the Gateway at any time, with or without notice, including if we believe you have violated this Agreement or Applicable Laws, or if required by a screening or Geofencing control.
11.2 Sections of this Agreement that by their nature should survive termination — including Sections 7 through 10, 12, and 13 — will survive.
12.1 Governing Law. This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles.
12.2 Arbitration. Any dispute arising out of or relating to this Agreement will first be addressed through good-faith negotiation for 60 days. If unresolved, the dispute will be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted by a single arbitrator in the State of Texas, in English. Judgment on the award may be entered in any court of competent jurisdiction.
12.3 Class Action Waiver. You waive any right to a jury trial or to participate in a class, collective, or representative action against Aditus. Claims relating to intellectual property, fraud, or requests for injunctive relief may be brought in a court of competent jurisdiction in Texas instead of arbitration.
13.1 Amendment. Aditus may modify these Terms at any time. For material changes, we will use reasonable efforts to provide at least 30 days' notice before the change takes effect. Continued use of the Gateway after a change takes effect constitutes acceptance of the revised Terms.
13.2 Assignment. You may not assign this Agreement without Aditus's prior written consent. Aditus may assign this Agreement upon notice to you, including in connection with a merger, acquisition, or sale of assets.
13.3 Severability. If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full effect.
13.4 No Partnership. This Agreement does not create a partnership, joint venture, or agency relationship between you and Aditus.
13.5 Force Majeure. Neither party is liable for a failure or delay caused by events beyond its reasonable control, including natural disasters, war, government action, regulatory changes, or on-chain events such as blockchain protocol changes, consensus failures, network reorganizations, network splits or forks, network outages, and smart contract exploits — except that this does not excuse a payment obligation.
13.6 Entire Agreement. This Agreement is the entire agreement between you and Aditus regarding the Gateway and supersedes any prior agreements on this subject.
